1. Introduction

Welcome to PromptBazaar.ai (“Prompt Bazaar,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the Prompt Bazaar website, marketplace, and related services (collectively, the “Platform”). By creating an account, purchasing, listing, or otherwise using the Platform, you (“you,” “User,” “Seller,” or “Buyer”) agree to be bound by these Terms and our Privacy Policy and Prompt Selling Policy, each incorporated herein by reference.

2. Account Eligibility

You must be at least 18 years old and legally capable of entering into contracts to register. You are responsible for safeguarding your login credentials.

3. Definitions

Prompt: A text command, template, or instruction designed to generate AI outputs.

Commercial Use License: Rights granted to Buyers to use the outputs generated by a Prompt in revenue-generating activities.
No-Resale Clause: Buyers may not resell, redistribute, sublicense, or publicly post the Prompt itself without the original Seller’s written consent.
Net Paid Amount: The order subtotal minus discounts, coupon deductions, chargebacks, or payment-processor fees.
Seller Commission: 82 % of the Net Paid Amount, automatically applied to every sale—including discounted transactions.

4. User Conduct

You agree not to:

Violate any applicable law.
Infringe on third-party intellectual-property rights.
Upload malicious code or interfere with Platform functionality.
Circumvent or manipulate our fee structure, billing process, or security controls.
Violation may result in suspension, removal of listings, forfeiture of funds, and legal action.

5. Intellectual Property

5.1 Seller Ownership – Sellers retain ownership of their Prompts but grant Prompt Bazaar a non-exclusive, worldwide, royalty-free license to host, display, and market the listing.

5.2 Buyer License – Upon purchase, Buyers receive a worldwide, non-exclusive, perpetual, commercial-use license to use Prompt outputs. The Prompt text/code itself may not be resold or redistributed (No-Resale Clause).
5.3 AI Output IP – Ownership of AI-generated outputs may be limited by the policies of the underlying AI model provider; Users are responsible for compliance with those policies.

6. Financial Terms

Pricing & Discounts: Sellers set list prices (USD 2–9 recommended). Prompt Bazaar may run promotions; all payouts apply the 82 % commission to the Net Paid Amount.

Payouts: Minimum withdrawal threshold is USD 25. Payouts occur via PayPal, ACH, or Crypto (ETH, USDC) within 14 days of request. Transaction fees are deducted from the Seller’s share.
Refunds: Digital products are non-refundable except for duplicate purchases or confirmed technical failure. Disputes must be filed within 7 days of purchase.

7. Refunds and Disputes

All sales are final unless otherwise stated in the platform’s refund policy. In the event of a dispute, the platform will act as a mediator to resolve the issue, but sellers are expected to comply with reasonable resolutions.

8. Warranty Disclaimer

Prompts are provided “as is.” We disclaim all warranties regarding merchantability, fitness for a particular purpose, and non-infringement. Prompt Bazaar does not guarantee the accuracy of AI outputs.

9. Limitation of Liability

To the maximum extent permitted by law, Prompt Bazaar’s liability shall not exceed the amount you paid to us in the previous 12 months.

10. Indemnification

You agree to indemnify and hold Prompt Bazaar harmless from claims arising out of your use of the Platform or violation of these Terms.

11. Dispute Resolution & Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute shall be resolved by binding arbitration in Wilmington, Delaware, under the AAA Rules. You waive class-action rights.

12. Changes to Terms

We may modify these Terms with 14 days’ notice. Continued use constitutes acceptance.
